2.  Introduction
 
These Terms and Conditions (T&Cs) apply to your acceptance and use of our website, services, and all interactions between coaches, mentors, and clients provided by Mentaa Technologies LLC. By creating an account or using the services, you agree to these T&Cs. Please read them carefully before using our platform. If you do not agree, you must refrain from using our services.
 
3.  Definitions
  • "Platform" refers to the MENTAA website which provides coaching services.
  • "User" refers to anyone who registers on the platform, including Coaches, Mentors, and Clients.
  • "Coach(es)" and "Mentor(s)" refer to individuals providing services to Clients via the platform.
  • "Client(s)" refers to individuals receiving services from coaches and mentors via the platform
  • "Services" refer to coaching and mentoring services facilitated by the platform between coaches and clients.
4.  Eligibility
 
By registering on the platform, you confirm that:
  • You are: (a) at least 18 years old; and (b) have not been previously suspended or removed from using the Services.
  • You possess the legal capacity to enter into binding contracts.
  • If you are a Coach and/or Mentor, you: (a) meet any professional qualification or certification required to provide the services you offer in your respective location; and (b) meet the certification requirements set by the Platform to perform Services.
  • Your use of the platform complies with all applicable laws and regulations at your location.
5.  User Accounts
 
Although you can visit the Platform freely with no registration, to access the services, you must create an account. When registering, you agree to:
  • provide accurate, current, and complete information.
  • maintain your account information
  • maintain the security of your account by not sharing your password or access to your account
  • promptly notify Mentaa if you suspect any security breaches related to the Services 
  • assume responsibility for all activities that occur under your account and accept all risks of unauthorized access.
  • Mentaa reserves the right to suspend or terminate accounts at our discretion for violations of these T&Cs
6.  Coach Terms of Use
 
Coach Obligations
 
Provision of Services
  • As a coach, you agree to provide professional, high-quality services to your clients in accordance with your qualifications, expertise, and ethical standards. You are responsible for the content and delivery of all coaching services.

Client Safety & Duty of Care
  • You acknowledge that coaching relationships require trust, discretion, and care. You agree to maintain appropriate professional boundaries, safeguard client confidentiality, and avoid any actions that could cause harm—whether emotional, psychological, financial, or otherwise. Any form of harassment, discrimination, manipulation, or coercive behavior will result in immediate removal from the platform.

Compliance with Laws
  • You must comply with all applicable local, national, and international laws, including tax laws, data protection regulations, and any relevant licensing or certification requirements in your jurisdiction.
Ethical Standards
  • You are expected to uphold the highest ethical and professional standards. If you belong to a recognized coaching body (e.g., ICF, EMCC), you must also abide by their code of ethics. Mentaa reserves the right to assess whether your behavior aligns with expected coaching norms, even if you're not affiliated with a specific body.
Service Availability
  • You are responsible for regularly maintaining and updating your availability on the Platform. Inconsistent updates may reduce your visibility to clients and negatively affect their experience and engagement on the Platform.
Cancellation Policy
  • You must adhere to Mentaa’s cancellation and rescheduling policies, designed to ensure fairness to clients outlined in the payment section. Repeated last-minute cancellations or no-shows may lead to a review or suspension of your account. 
 
Fees & Payments
 
Fee Structure
  • You will receive payment on your PayPal account for the coaching services you provide based on the rates you set on the Platform, subject to a 20% commission charged by the Platform. If you choose to transfer your earnings from PayPal to another financial institution, please note that PayPal applies a payout fee. This fee is not covered by the Platform’s commission.
Payment Terms
  • Payments will be processed via PayPal after client payment and successful session delivery. Paypal has up to 21 days hold for new accounts to protect buyers and manage risks. More information on https://www.paypal.com/.
Tax Responsibility
  • You are solely responsible for calculating, reporting, and paying any applicable taxes related to your coaching income. Mentaa does not withhold taxes on your behalf.
Refunds, Complaints and Disputes
  • In the event of a client dispute, refund request, or chargeback, you agree to respond promptly and cooperate fully with Mentaa’s investigation. If the Platform determines that a refund is warranted due to unsatisfactory service, misconduct, or policy violations, you may forfeit your session fee. Repeated disputes may result in account suspension or termination.
7.  Using the Service and Limitations
  • The platform is limited to serving as a neutral facilitator connecting clients with coaches and mentors. The platform does not endorse or guarantee the quality or suitability of any Coach or Mentor. The Clients at their own will, choose the platform to work with a Coach or Mentor.
  • The platform is not responsible for any actions, omissions, or advice provided by Coaches or Mentors. All services are provided by third-party independent contractors, and Clients assume the full responsibility for their interactions.
  • The platform is not responsible for the results or outcomes of the coaching or mentoring services, and no guarantees or warranties are made regarding the effectiveness or success of any coaching or mentoring session.
  • The Platform and the Services offered herein are provided solely as a forum and technical means to connect two or more people or interested in having a coaching session and does not represent itself as being licensed to provide counseling, psychotherapy, or psychiatric evaluation, psychiatric therapy, or any other service requiring professional medical accreditation.
8.  Pricing and Payments
  • Fees for services will be clearly displayed on the platform. Payment is processed via our secure third-party payment provider, PayPal.
  • Payment is due upon booking services. Clients agree to pay any applicable fees, taxes, or other charges. Clients can reschedule sessions up to 1 hour before the session’s scheduled starting time, Coaches and mentors will receive payment after service delivery, minus any platform service fees
  • Refund Policy:   Clients are eligible for a 100% refund if a session is cancelled at least 24 hours before the scheduled start time, and a 50% refund if cancelled less than 24 hours in advance.  Refunds beyond this are generally not offered unless there are exceptional circumstances that comply with both UAE law and Mentaa’s internal guidelines.  All refund requests are reviewed on a case-by-case basis, and decisions made by the Platform are final.

9.  Intellectual Property
  • The platform, its content, and any intellectual property (IP) associated with it, including trademarks, logos, designs, and text, are the exclusive property of Mentaa Technologies LLC.
  • Any content uploaded by coaches, mentors, or clients remains their intellectual property. By uploading content, you grant the platform a non-exclusive, royalty-free license to use, modify, and display this content for the purpose of providing the services.
  • You may not use the platform’s content, branding, or IP without prior written permission.
10.  Confidentiality and Privacy
  • We are committed to protecting your privacy. Please refer to our Privacy Policy for details on how we collect, store, and process your data, in compliance with GDPR (EU), CCPA (California), and UAE data protection laws.
  • Coaches and mentors agree to maintain the confidentiality of all personal information shared by clients during sessions as per coaching ethics.
  • Clients agree to keep all materials and discussions with coaches and mentors confidential unless otherwise agreed.
  • The platform assumes no responsibility for any breaches of confidentiality that occur between coaches and clients
11.  User Conduct
 
By accessing and using our coaching platform, you agree to uphold the standards outlined here to ensure a safe, respectful, and productive environment for all users. These guidelines foster a space where individuals can learn, grow, and collaborate effectively.

Respectful Communication
  • All users are expected to treat coaches, coachees, and other participants with courtesy and professionalism. Language or behavior that is offensive, abusive, or discriminatory, including hate speech, harassment, or personal attacks, is strictly prohibited.
Appropriate Use of the Platform
  • The platform should only be used for its intended purposes, including coaching, personal growth, and professional development. Activities such as spamming, solicitation, unauthorized advertising, or sharing content that is unlawful, harmful, or infringes on others’ rights are not permitted.
Confidentiality and Privacy
  • Users must respect the confidentiality of coaching sessions and the privacy of others. Recording or sharing coaching sessions, communications, or any platform content without explicit consent is prohibited. This ensures trust and safety for all participants.
Honesty and Integrity
  • We expect all users to provide accurate and truthful information, whether creating profiles or engaging with others on the platform. Impersonation or misrepresentation of qualifications, identity, or intentions undermines the integrity of the community and will not be tolerated.
Adherence to Agreements
  • Commitments made through the platform, such as scheduled sessions, fees, and cancellation policies, should be honored. If adjustments are needed, users should notify their coach or the platform promptly to maintain trust and reliability.
Compliance and Prohibited Behaviors
  • Users must comply with all applicable laws and regulations and refrain from actions that disrupt the platform, such as hacking, introducing harmful technologies, or attempting unauthorized access. Such violations may lead to suspension, removal, or legal action to protect the integrity of the platform.
12.  Dispute Resolution

In the event of a dispute between users, the platform encourages both parties to resolve the issue amicably. If a resolution cannot be reached, the dispute may be escalated to our support team at contact@mentaa.com for further assistance.

Please note that the platform is not responsible for resolving disputes between users and is not liable for any damages or consequences resulting from such disputes.

Governing Law:
  • This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates
  • This Agreement shall be governed by the laws of the Emirate of Dubai, United Arab Emirates.
13.  Termination
  • The platform reserves the right to suspend or terminate any user account at its discretion if the user violates the platform's terms and conditions, including but not limited to, engaging in harmful behavior, breaching confidentiality, or failing to comply with the code of conduct.
  • Termination may occur with or without prior notice, depending on the severity of the violation. Users whose accounts are terminated will lose access to the platform and any associated services. Any outstanding obligations, including payment for services rendered, must still be fulfilled.
  • Users may request the termination of their account at any time by contacting our support team at contact@mentaa.com. Upon termination, all personal data associated with the account will be handled in accordance with our Privacy Policy.
14.  Limitation of Liability
  • The platform, including its owners, directors, employees, and affiliates, is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of the platform or services provided by coaches or mentors.
  • Coaches, mentors, and clients acknowledge that they use the platform at their own risk. The platform makes no warranties regarding the accuracy, completeness, or reliability of the services or content.
  • The platform is not responsible for any losses or damages resulting from technical issues, service interruptions, data breaches, or security failures, to the fullest extent permitted by law. 
15.  Amendments
 
Mentaa reserves the right to modify these T&Cs at any time. Users will be notified of any significant changes via email or a notification on the platform. It is your responsibility to review these T&Cs regularly. Continued use of the platform following any amendments constitutes acceptance of the updated terms.

16.  Force Majeure
 
The platform is not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or technical failures of any associated 3rd party providers.

17.  Severability
 
If any provision of these T&Cs is found to be unenforceable, the remaining provisions will remain in effect.
